Definitions

“We”, “us” Holapa Web which is an operating name for Holapa Ltd. Registered Office, 137 Kingston Road Willerby HU10 6AL Registered in England No. 05330227

“You” The customer with whom we have a contract to supply web site design and/or hosting.

“Hosting” provision of web space for displaying customers web site to the public at large.

“Maintenance” modifications to customers web site in line with their requirements and resolution of any technical issues which may arise from time to time.

Design

We undertake to design a functioning web site to the customers specification in a reasonable and timely manner.

All times given at time of order are best estimates and are not legally binding.

The design shall not be deemed to be complete until agreed by you.

The design shall remain the property of us until paid for in full. Ownership of the design shall then pass to you.

You shall be responsible for providing images and copy for inclusion within the site. We shall be responsible for editing images and copy to make them web friendly.

All images supplied must be free from copyright restrictions and must belong to you. You agree to indemnify us against any infringement of copyright.

Any images supplied by us on your behalf shall remain our copyright. We do however permit you to use these images for any internet  marketing purposes even if you no longer have a contract with us.

Any image supplied by a third party ie photo bank will be subject to their license agreement.

The overall copyright of the site shall belong to you once payment has been made in full.

Hosting

If you purchase hosting from us we will host your web site with a reputable hosting company.

We currently use Heart Internet, but reserve the right to change hosting companies at any time without notice to you. This will only be done if we believe that we can provide you with an equal or better service.

Your hosting contract will commence upon agreement of your design and receipt of payment in full for the first years hosting.

On commencement of your hosting contract we shall upload your site to the hosting companies server.

We shall also submit your site to the major search engines for inclusion within their index.

Submission of your site does not guarantee inclusion.

We are not responsible for the time that it takes for search engines to include your listing, but we do have methods to ensure that this happens as rapidly as possible.

We cannot guarantee any ranking within the search engines, but we will use optimisation techniques to improve visibility to the search engines of your chosen key words. Individual techniques will not be discussed here, but we will discuss them with bona fide customers should they require more details.

Our hosting company has very strict guidelines regarding spamming and obscene content. We suggest that you familiarise yourself with their terms and conditions as these form part of this contract. Any changes to your site, not made by us, which contravene there terms and conditions shall be your responsibility.

On commencement of your hosting package we shall send you instructions and passwords for access to your control panel, this is where you can access webmail, email settings, mailing lists etc.

There is no limit to bandwidth or storage space on the server, however the web space used must be for the purpose of running the site and not for online storage.

There is no guaranteed uptime of the hosting companies servers and no refunds will be given for down time due to technical issues beyond our control. Current uptime is well in excess of 99%.

We do accept any liability for any losses either direct or consequential for non availability of services for whatever reason.

Payment/Billing

No invoice will be issued until work agreed has been completed to a standard acceptable to you.

If you are unhappy with the service prior to invoicing you may cancel the contract at any time at no cost to you. All work not paid for shall belong to us. If you require to use any domain name we have registered on your behalf you must pay us the cost plus a small administration fee before we release it to you.

If you do not require the domain name we will park it/dispose of it as we see fit.

Upon agreed completion of the work to your satisfaction we will invoice you for the agreed sum and the first years hosting cost, if applicable.

Sites will not be published to the net until payment has been made in full for design and/or hosting.

No refunds will be given for partial years hosting should you cancel your hosting contract. We therefore recommend that should you wish to cancel you wait until renewal time.

In month 11 of your hosting package we will send you a renewal notice. Payment for the following 12 months must be made prior to expiry of previous years package. If payment is not received we cannot guarantee that your site will be available on the internet.
